Sunshine Terms and Conditions

1. Introduction and Acceptance
Welcome to Sunshine ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the stablecoin exchange services ("Services") available at youfoundsunshine.com (the "Website"). The Services allow registered members ("Members," "you," or "your") to buy/sell stablecoins (USDT / USDC) from/to Sunshine using Trinidad and Tobago Dollars ("TTD").
By completing verification, registering for an account, accessing the Website, or using any of our Services, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations of Trinidad and Tobago. If you do not agree to these Terms, you must not access or use our Services.
2. Eligibility and Registration
2.1. To become a Member, you must:
a) Be at least 18 years old (signed parental permission is required for minors)
b) Provide accurate, current and complete information during the verification process, including your legal full name, address, date of birth, a valid Trinidad & Tobago government-issued ID (e.g., National ID, Passport, Driver's Licence) and proof of address.
c) Maintain the accuracy of this information and promptly update your account details if any changes occur.
2.2. You may only register and maintain one account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify Sunshine immediately of any unauthorized use of your account or any other security breach.
2.3. Sunshine reserves the right to refuse registration, suspend or terminate any account at its sole discretion, in accordance with applicable law.
3. Description of Services
3.1. Sunshine operates a regulated digital asset exchange platform. The core Services are:
a) Buy USDT/USDC: Members may place an order to purchase USDT/USDC from Sunshine at the quoted rate, paying the equivalent amount in TTD via approved payment methods.
b) Sell USDT/USDC: Members may place an order to sell USDT/USDC to Sunshine at the quoted rate, receiving the equivalent amount in TTD via approved payment methods.
3.2. All transactions are subject to Sunshine's prevailing exchange rates, which include our fee. Rates are quoted on the Website and are subject to change based on market conditions. The final rate for a transaction is locked in at the moment your order is confirmed by Sunshine.
3.3. Sunshine is not a wallet service provider. You must use your own secure digital wallet that supports USDT/USDC (TRC20, ERC20, etc. as agreed to with Sunshine) to receive purchased USDT/USDC or to send USDT/USDC for sale.
4. Transaction Process and Obligations
4.1. Buying USDT/USDC
a) You request a quote to buy a specific amount of USDT/USDC.
b) Sunshine provides a final TTD amount (including fees) and a payment window (e.g. 15-30 minutes).
c) You must send the exact TTD amount from your registered bank account to Sunshine's designated bank account within the payment window.
d) Upon receipt and verification of your TTD payment, Sunshine will send the purchased USDT/USDC to the wallet address you provided. You are solely responsible for providing the correct wallet address. Sunshine is not liable for USDT/USDC sent to an incorrect address provided by you.
4.2. Selling USDT/USDC
a) You request a quote to sell a specific amount of USDT/USDC.
b) Sunshine provides a final TTD amount (after fees) and provides a designated USDT/USDC wallet address.
c) You must send the exact amount of USDT/USDC from your wallet to Sunshine's designated wallet address within the transaction window.
d) Upon receipt and verification of the USDT/USDC on the blockchain, Sunshine will send the TTD equivalent to your registered bank account within our stated processing timeframe (e.g. 1-2 business days).
4.3. You are responsible for all bank charges, network fees (gas fees), or other third-party costs associated with your transactions.
5. Compliance, AML/CFT, and KYC
5.1. Sunshine is committed to complying with all applicable laws of Trinidad and Tobago, including anti-money laundering and counter-financing of terrorism (AML/CFT) regulations.
5.2. You agree to cooperate fully with our Know Your Customer (KYC) and Customer Due Diligence (CDD) procedures. This may involve providing additional documentation or information at any time.
5.3. Sunshine monitors all transactions and reserves the right to:
a) Delay, suspend or refuse any transaction.
b) Report suspicious activity to the relevant authorities.
c) Request further information to verify the source of funds or the purpose of a transaction.
5.4. You warrant that all funds used on the platform are derived from legitimate sources, which are accurately described in all transaction requests and that your use of the Services complies with all applicable laws.
6. Fees
Our fee structure is incorporated into the quoted exchange rate. All applicable fees will be clearly displayed before you confirm any transaction. Sunshine reserves the right to adjust its fee structure at any time, with notice provided on the Website.
7. Pricing, Availability and Modifications
7.1. Cryptocurrency markets can be volatile. While we strive for accuracy, quoted prices are indicative until an order is confirmed. We are not liable for any market fluctuations between your request and our confirmation.
7.2. We may suspend the Services or modify the content on the Website at any time without liability.
8. Representations, Warranties and Risk Acknowledgement
8.1. You represent and warrant that you have the legal right and capacity to enter into these Terms.
8.2. You acknowledge and agree that you understand the inherent risks associated with digital assets like USDT/USDC, including but not limited to:
a) Price Volatility: The value of USDT/USDC, while designed to be stable, can fluctuate.
b) Regulatory Risk: Laws governing digital assets may change, which could affect the Services.
c) Technology Risk: Underlying blockchain networks may experience delays, forks or failures.
d) Irreversibility: Cryptocurrency transactions, once confirmed, are generally irreversible.
9. Limitation of Liability
9.1. To the maximum extent permitted by law, Sunshine, its directors, Team Members and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or data, arising from your use of the Services.
9.2. Our total aggregate liability for any claim arising under these Terms shall be limited to the total fees you paid to us in relation to any unsettled transactions with Sunshine giving rise to the claim, or one hundred Trinidad and Tobago dollars (TTD $100), whichever is greater.
9.3. Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud or any other liability which cannot be limited or excluded by law.
10. Indemnity
You agree to indemnify and hold harmless Sunshine and its affiliates from any claims, damages, losses or expenses (including legal fees) arising from your breach of these Terms, your violation of any law or your misuse of the Services.
11. Termination
We may suspend or terminate your access to the Services immediately, without prior notice, for conduct we believe violates these Terms or is harmful to other Members, Sunshine or third parties, or for any other reason at our sole discretion. You may terminate your account at any time by contacting us.
12. Dispute Resolution and Governing Law
12.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago.
12.2. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Republic of Trinidad and Tobago.
13. General Provisions
13.1. Entire Agreement: These Terms constitute the entire agreement between you and Sunshine regarding the Services.
13.2. Amendments: We may amend these Terms at any time by posting the updated version on the Website. Your continued use of the Services after such posting constitutes acceptance of the amended Terms.
13.3. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
13.4. Force Majeure: Sunshine shall not be liable for any failure or delay in performance due to events beyond its reasonable control.
